PTCL–Telenor Merger to Take Up to Six Months, Setting Stage for a New Telecom Powerhouse

Pakistan’s telecom industry is entering a critical consolidation phase as PTCL moves forward with its acquisition and planned merger with Telenor Pakistan, a process expected to take up to six months and potentially transform the country’s mobile market. The deal, which has entered fast-track mode following initial regulatory approval, is seen as a pivotal step toward resolving structural challenges in the sector and accelerating the long-delayed rollout of 5G services.
The Pakistan Telecommunication Authority (PTA) recently issued a No Objection Certificate (NOC) for the change in ownership, marking a key milestone in the transaction. Analysts say the merger represents more than a corporate buyout; it signals a strategic shift in an industry facing saturation, rising operational costs, and declining investment appetite.
A New Telecom Powerhouse Emerges
PTCL, which already owns Ufone, will bring two nationwide mobile operators under a single umbrella. Following clearance from the State Bank of Pakistan on legal and foreign exchange requirements, PTCL is expected to formally assume control of Telenor Pakistan. Full merger approval, which requires a second PTA review and SECP clearance, is likely to push complete integration into mid-2025.
“Pakistan could no longer sustain four major operators. This merger sets the foundation for a more stable, investment-ready market,” said a senior industry official, highlighting the strategic nature of the consolidation.
Laying the Groundwork for 5G
The merger is expected to combine spectrum resources, network infrastructure, and operational capacities, addressing one of the key barriers to Pakistan’s delayed 5G deployment. A consolidated PTCL group will have increased investment capacity, wider coverage, and improved spectrum management—critical elements for next-generation services.
“With this transition, the uncertainty surrounding Telenor’s future is gone. A unified PTCL can finally plan and fund a realistic 5G roadmap,” a telecom official said.
Telenor Asia Signals Smooth Transition
Telenor Asia welcomed the PTA’s approval, pledging to maintain uninterrupted services during the transition. The company noted that the regulator’s decision underscores its commitment to strengthening Pakistan’s telecom ecosystem.
Consumer and Market Implications
While the merger will reduce the number of major mobile operators, analysts predict improved network quality and service delivery as the new entity leverages shared infrastructure and streamlined operations. Competitors may also be prompted to accelerate their own upgrades and investments.
If completed as projected, the PTCL–Telenor merger could become one of the most significant transformations in Pakistan’s telecom sector, creating a more consolidated and investment-ready market while paving the way for the long-awaited 5G era.
